Starwood Labs Inc. owns and operates Markiter.com
By accessing and using Markiter, you agree to be bound by these Terms of Use. If you do not agree with all of the terms of use, do not use Markiter.com in any capacity. Starwood Labs reserves the right to limit or terminate your access to Markiter.com if you do not comply with these Terms of Use.
You must be at least 13 to use Markiter. Markiter will cancel your account if Starwood Labs Inc. determines through reliable means that you are younger than 13.
Starwood Labs Inc. reserves the right, at its sole discretion, to change, modify, update, add, or remove portions of the Terms of Use at any time, with or without notice to you. Please check these Terms of Use periodically for changes. Your continued use of Markiter.com after the posting of any changes to the Terms of Use means that you have accepted those changes.
Allowable Content and Use
Markiter.com provides an easy mechanism to test and gather feedback on media. You may not:
- Upload unlawful, harmful or obscene content
- Forge or otherwise impersonate a person or company
- Upload content that you do not own or have the appropriate rights
- Upload content that infringes on copyrights or trademarks
- Upload any form of virus or malicious software
- Upload content that has a false, or misleading origin
All media, information, digital files or other materials, whether publicly uploaded, displayed or privately transmitted, are the sole responsibility of the person who uploads or publishes such items. Accordingly, you are responsible for all items that you upload, cause a display or performance of or otherwise make available via Markiter. Starwood Labs Inc. reserves the right to, but has no obligation to, monitor or screen the content uploaded and/or displayed or posted on Markiter and to remove any content in its sole discretion. Nevertheless, YOU REMAIN SOLELY RESPONSIBLE FOR THE CONTENT OF THE MATERIALS YOU UPLOAD, CAUSE TO BE DISPLAYED OR PERFORMED IN ANY AREAS OF MARKITER.
License and Confidential Information
By posting information or uploading content to, or otherwise causing content to be displayed on Markiter, you automatically grant, and you represent and warrant that you have the right to grant, to Starwood Labs Inc an irrevocable, perpetual, non-exclusive, fully-paid, worldwide license to use, copy, publicly perform, publicly display and distribute such information and content and to prepare derivative works of, or incorporate into other works, such information and content, and to grant and authorize sub-licenses of the foregoing.
No information or content of any kind that you submit to Starwood Labs Inc, upload, post, cause to be displayed or performed, transmit or otherwise make available using Markiter shall be deemed confidential or secret information.
Disclaimer
Starwood Labs Inc. reserves the right to monitor activity or content on the site. Markiter does not guarantee the accuracy, integrity or quality of any content submitted by users to Markiter. You may be exposed to content that you find offensive or objectionable in the process of using Markiter due to varying community standards and individuals who choose not to comply with our policies and practices. You can contact our Customer Service Department to let us know of content that you find objectionable. We may investigate the complaints and violations of our policies that come to our attention and may take any action that we believe is appropriate, including, but not limited to issuing warnings, removing the content or terminating accounts and/or subscriptions. We also, however, reserve the right not to take any action. Under no circumstances will we be liable in any way for any content, including, but not limited to any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of, access to, or denial of access to any content on the Website.
Starwood Labs Inc. also reserves the right to change, or terminate any portion of Markiter, or any materials, or content on Markiter and may delete any content uploaded or submitted to Markiter without any notice or liability.
Indemnity
You agree to indemnify, defend, and hold Starwood Labs Inc and its affiliates, officers, agents, co-branders, partners, and employees harmless from any claim or demand made by any third party due to or arising out of your use of Markiter, your connection to Markiter, your violation of the Terms of Use or Privacy Policy, or your violation of any rights of other users of Markiter. Any such indemnification shall include the payment of reasonable attorney's fees incurred in the defense of such claim.
